Ready4Fund is a business financing readiness, assessment, referral, and lead-generation platform.
Ready4Fund may provide businesses with educational information, financing-readiness assessments, scores, estimates, recommendations, financing-provider introductions, and related services.
Ready4Fund is not a bank, lender, loan originator, direct financing provider, investment adviser, broker-dealer, accounting firm, tax adviser, attorney, or law firm unless expressly identified otherwise.
Ready4Fund may receive compensation from third parties in connection with referrals, introductions, leads, financing inquiries, advertising, marketing, or other commercial relationships.
Ready4Fund may also sell, license, transfer, provide, or otherwise disclose information submitted through the Services to third parties as described in these Terms and the Privacy Policy.
You understand that Ready4Fund's business model may involve receiving compensation from third parties for providing information concerning prospective financing customers to those third parties.

Ready4Fund does not itself approve, deny, originate, fund, service, guarantee, or provide financing unless expressly stated otherwise.
A financing provider may require additional information, documentation, applications, authorizations, underwriting, credit checks, bank verification, or other processes before making any financing decision.
Ready4Fund does not guarantee:
All financing decisions are made solely by independent third-party financing providers according to their own criteria.
A financing provider may approve, deny, modify, withdraw, or condition any financing opportunity at any time.
The Services may use automated systems, algorithms, rules, statistical methodologies, scoring models, artificial intelligence, machine learning, third-party data, and other technologies to generate assessments, scores, recommendations, classifications, estimates, or other outputs.
Ready4Fund scores are informational tools only.
A Ready4Fund score is not:
Automated or AI-generated information may contain errors, omissions, outdated information, incorrect assumptions, or other inaccuracies.
Ready4Fund does not guarantee that any score, assessment, recommendation, classification, estimate, or other output is accurate, complete, current, reliable, fair, unbiased, or suitable for any particular purpose.
Ready4Fund may modify, replace, suspend, or discontinue any scoring methodology, model, algorithm, criteria, or assessment process at any time.
Different users may receive different results based on information provided, data available to Ready4Fund, timing, methodology, third-party information, or other factors.
You agree not to rely solely on any Ready4Fund score, assessment, recommendation, or automated output when making a financial, business, legal, tax, or other material decision.
Ready4Fund may provide information submitted by users to third parties, including:
Ready4Fund may provide, sell, license, transfer, refer, or otherwise disclose information to such parties for purposes including evaluating financing opportunities, generating leads, making introductions, marketing, contacting prospective customers, analytics, and business operations.

The appearance, ranking, presentation, recommendation, advertisement, or inclusion of any financing provider through the Services does not mean that Ready4Fund endorses, recommends, certifies, guarantees, or independently verifies that provider.
Third-party financing providers, brokers, sales representatives, agents, marketing companies, and other third parties are independent entities.
Unless expressly stated otherwise, they are not employees, agents, representatives, partners, joint venturers, or fiduciaries of Ready4Fund.
Ready4Fund does not control the conduct, business practices, licensing, underwriting criteria, products, services, communications, privacy practices, security practices, or compliance of independent third parties.
Ready4Fund does not guarantee that any third party:
Your interactions and transactions with third parties are solely between you and those third parties.
You acknowledge and understand that information you submit may be disclosed to third parties and, where permitted by applicable law, those third parties may independently use, retain, process, disclose, transfer, or otherwise handle such information in accordance with their own policies, agreements, and legal obligations.
Where permitted by applicable law and as described in the Privacy Policy, information may also be sold, licensed, transferred, or otherwise provided to third parties.

Ready4Fund may take reasonable measures to select, manage, or contract with certain third-party recipients, but does not guarantee or assume responsibility for the conduct, compliance, privacy practices, security practices, or subsequent use of information by independent third parties.
Ready4Fund operates, in whole or in part, as a lead-generation and referral platform.
You acknowledge that Ready4Fund may receive compensation when your information is referred, introduced, matched, sold, transferred, or otherwise provided to a third party.
Such compensation may be based on factors including, without limitation, lead generation, referrals, introductions, applications, conversions, financing transactions, advertising arrangements, or other commercial arrangements.
Compensation received by Ready4Fund does not mean that a financing provider is the best, lowest-cost, most appropriate, or most competitive option for you.
You are responsible for independently evaluating any financing provider, financing product, offer, agreement, cost, rate, repayment obligation, or other financial arrangement before entering into it.
Ready4Fund may send communications relating to the Services, including administrative, transactional, account-related, assessment-related, security, support, and other service communications.
Where permitted by applicable law, Ready4Fund may also send marketing communications.
Marketing consent may be requested separately through the Services and may be governed by the specific disclosure and consent mechanism presented to you at the time consent is requested.
Where applicable, marketing consent may authorize communications by telephone, email, SMS/text message, automated technology, prerecorded voice, or other communication methods.

A general acceptance of these Terms is not intended to replace any separate consent that may be legally required for telemarketing, automated calls, automated text messages, prerecorded messages, or similar communications.

Except as expressly permitted in writing, you may not copy, reproduce, modify, distribute, publish, transmit, display, sell, license, create derivative works from, reverse engineer, or commercially exploit any portion of the Services or their contents.
No rights are granted to you except those expressly stated in these Terms.
If you voluntarily provide Ready4Fund with suggestions, ideas, recommendations, comments, reviews, feedback, or other materials concerning the Services ("Feedback"), you grant Ready4Fund a perpetual, worldwide, irrevocable, royalty-free, transferable, sublicensable right to use, reproduce, modify, publish, distribute, display, and otherwise exploit such Feedback for any lawful purpose without compensation or attribution.
The Services may contain links, integrations, advertisements, content, products, or services provided by third parties.
Ready4Fund does not control or guarantee the accuracy, availability, legality, security, quality, reliability, suitability, or performance of third-party services or content.

Ready4Fund is not responsible for any third-party website, product, service, advertisement, financing offer, communication, transaction, or content.
To the maximum extent permitted by applicable law, the Services are provided "as is," "as available," and "with all faults," without warranties of any kind, express, implied, statutory, or otherwise.
To the maximum extent permitted by law, Ready4Fund disclaims all warranties, including warranties of merchantability, fitness for a particular purpose, non-infringement, title, accuracy, reliability, availability, security, completeness, currentness, and uninterrupted or error-free operation.

To the maximum extent permitted by applicable law, Ready4Fund and its owners, members, managers, officers, directors, employees, contractors, agents, affiliates, licensors, service providers, successors, and assigns shall not be liable for any indirect, incidental, special, exemplary, punitive, consequential, or other similar damages.
This includes, without limitation: lost profits; lost revenue; lost business opportunities; lost financing opportunities; financing denials; financing costs; business interruption; loss of goodwill; loss of data; loss of information; security incidents; costs of substitute services; third-party claims; communications received from third parties; financing losses; business losses; or other economic or non-economic losses.
These limitations apply regardless of the legal theory asserted, including contract, tort, negligence, strict liability, warranty, statute, or otherwise, and regardless of whether Ready4Fund was advised of the possibility of such damages.
To the maximum extent permitted by applicable law, the total aggregate liability of Ready4Fund arising out of or relating to the Services or these Terms shall not exceed one hundred U.S. dollars (US $100).
The foregoing limitation applies collectively to all claims arising from or relating to the Services and is not increased by the number of claims, causes of action, or legal theories asserted.
Nothing in these Terms excludes or limits liability that cannot lawfully be excluded or limited under applicable law.
To the maximum extent permitted by applicable law, you agree to defend, indemnify, and hold harmless Ready4Fund and its owners, members, managers, officers, directors, employees, contractors, agents, affiliates, licensors, service providers, successors, and assigns from and against any and all claims, demands, actions, proceedings, liabilities, damages, judgments, losses, costs, and expenses, including reasonable attorneys' fees, arising out of or relating to:
Ready4Fund may assume exclusive control of the defense of any matter subject to indemnification, and you agree to cooperate reasonably with such defense.
To the maximum extent permitted by law, you release and hold harmless Ready4Fund from claims arising from or relating to your dealings with third-party financing providers, brokers, sales representatives, agents, marketing companies, or other third parties.
This includes claims relating to: financing offers; financing denials; rates; fees; repayment terms; underwriting; communications; sales practices; representations; products; services; privacy practices; data handling; security incidents; contractual disputes; and any other conduct of the third party.
You acknowledge that Ready4Fund is not a party to agreements between you and third parties unless expressly stated otherwise.
Ready4Fund uses safeguards that it believes are reasonable and appropriate under the circumstances. However, no website, database, network, electronic transmission, storage system, or other technology can be guaranteed to be completely secure.
You acknowledge that electronic communications and internet transmissions involve inherent risks.
To the maximum extent permitted by law, Ready4Fund is not responsible for unauthorized access, acquisition, alteration, disclosure, loss, destruction, or misuse of information resulting from circumstances beyond Ready4Fund's reasonable control or from events that cannot reasonably be prevented.
Nothing in this section limits any obligation Ready4Fund may have under applicable data-security or breach-notification laws.
Your use of the Services is also governed by the Ready4Fund Privacy Policy.
The Privacy Policy describes, among other things, information Ready4Fund may collect, how information may be used, how information may be shared or sold, categories of recipients, cookies and tracking technologies, communications, data retention, privacy rights, and other data practices.
The Privacy Policy is incorporated into these Terms by reference.
If there is a conflict between these Terms and the Privacy Policy concerning data practices, the Privacy Policy will govern those data-practice matters to the extent required by applicable law.

Ready4Fund may suspend, restrict, disable, or terminate your access to the Services at any time, with or without notice, for any reason permitted by applicable law, including: suspected fraud; misuse; violation of these Terms; security concerns; unlawful activity; inaccurate or misleading information; abuse of the Services; or operational or business reasons.
Upon termination, your right to use the Services immediately ends.
Termination does not eliminate obligations that by their nature should survive termination.
The following provisions survive termination or expiration of these Terms: intellectual property; user-submitted information; disclaimers; limitation of liability; indemnification; third-party provisions; privacy provisions to the extent applicable; dispute-resolution provisions; governing law; arbitration; class-action waiver; jury waiver; electronic communications; and any other provision that by its nature should survive.
To the maximum extent permitted by applicable law, any dispute, claim, or controversy arising out of or relating to the Services, these Terms, the Privacy Policy, or your relationship with Ready4Fund, including disputes concerning their formation, interpretation, validity, enforceability, performance, or termination, shall be resolved through individual binding arbitration rather than in court.
The arbitration shall be administered by a mutually agreed arbitration provider under its applicable rules, subject to applicable law.
The Federal Arbitration Act shall govern the interpretation and enforcement of this arbitration provision to the maximum extent applicable.

Unless prohibited by applicable law, the arbitrator may not combine or consolidate claims of multiple persons and may not preside over any form of representative, class, collective, or consolidated proceeding.
If applicable law prohibits enforcement of a particular portion of this waiver, that portion shall be severed or modified to the minimum extent necessary, and the remaining provisions shall remain effective to the maximum extent permitted by law.
To the maximum extent permitted by applicable law, you and Ready4Fund knowingly and voluntarily waive any right to a trial by jury for any claim or dispute that is permitted to proceed in court and that arises out of or relates to these Terms or the Services.
Before initiating arbitration or litigation concerning a dispute, you agree, to the extent permitted by law, to provide Ready4Fund with written notice describing:

To the extent a dispute is permitted to proceed in court rather than arbitration, and to the extent permitted by applicable law, the parties agree that the state and federal courts located in New York shall have exclusive jurisdiction.
Ready4Fund shall not be liable for any delay, interruption, failure, or inability to provide the Services caused by circumstances beyond its reasonable control, including: natural disasters; severe weather; fire; flood; epidemic or pandemic; war; terrorism; civil unrest; governmental action; regulatory changes; labor disputes; telecommunications failures; internet outages; hosting failures; power outages; cyberattacks; security incidents; failures of third-party providers; supply-chain disruptions; or other events beyond Ready4Fund's reasonable control.
You may not assign, transfer, delegate, or otherwise convey your rights or obligations under these Terms without Ready4Fund's prior written consent.
Ready4Fund may assign, transfer, or delegate these Terms or any rights or obligations under them without your consent, including in connection with a merger, acquisition, financing, restructuring, reorganization, sale of assets, change of control, or similar transaction.
A failure or delay by Ready4Fund to enforce any provision of these Terms does not constitute a waiver of that provision or any other provision.
Any waiver must be express and in writing.
If any provision of these Terms is determined to be unlawful, invalid, or unenforceable, that provision shall be enforced to the maximum extent permitted by applicable law and modified or severed only to the minimum extent necessary.
The remaining provisions shall remain in full force and effect.
Where permitted by law, a court or arbitrator may modify an unenforceable provision to the minimum extent necessary to make it enforceable while preserving its intended purpose.
These Terms, together with the Privacy Policy and any additional terms expressly incorporated by reference, constitute the entire agreement between you and Ready4Fund concerning the Services and supersede prior or contemporaneous agreements, representations, communications, or understandings concerning the same subject matter.
